1. Service Description

The Memo is a digital subscription service that makes editorial content and related features available through email, applications, websites, or other delivery channels. The content, features, delivery schedule, billing interval, and price applicable to a subscription are those presented on our website or at checkout when the subscription is entered into, subject to later changes agreed with the subscriber or otherwise permitted by law. The service is operated by Bernstein Holding UG (haftungsbeschränkt), Eschenlohmühle 2, 86862 Lamerdingen, Germany.

2. Subscription and Payment

Where an offer is paid, its price, billing interval, payment method, and payment provider are displayed at checkout or otherwise agreed before purchase. Payments made through our website are currently processed by Stripe. Unless the applicable offer states otherwise, you may cancel a recurring subscription at any time and access continues until the end of the current billing period. Refunds and the effects of cancellation are governed by the applicable offer terms and mandatory law. Participation in referral discounts is additionally governed by the Referral Program Terms.

3. Digital Content and Right of Withdrawal

The Memo is a digital subscription service. Where applicable consumer withdrawal rights exist, these may expire once digital content delivery has begun, provided you have expressly consented to immediate performance and acknowledged the loss of the withdrawal right in accordance with applicable law.

4. Intellectual Property

Unless otherwise indicated, content and materials created by The Memo — including editorial content, analysis, commentary, documents, formatting, and editorial selection — are the intellectual property of Bernstein Holding UG. Third-party content, data, and other materials remain subject to the rights and licences of their respective owners.

5. Prohibited Use

Except to the extent expressly allowed by the applicable offer, licence, or a separate agreement, subscribers may not:

a) Redistribute, forward, publish, or share subscription content with any third party, whether in original or modified form.

b) Use subscription content as input, training data, or reference material for any artificial intelligence model, large language model, machine learning system, or automated content generation tool.

c) Reproduce, replicate, or create derivative works that mimic the structure, format, editorial approach, or content selection methodology of The Memo.

d) Scrape, systematically download, or programmatically extract subscription content or service materials.

e) Use subscription content for any commercial purpose beyond personal professional reference.

6. Licence

Unless the applicable offer or a separate agreement provides otherwise, your subscription grants you a personal, non-transferable, non-exclusive licence to access and use the content and features included in your subscription for your own professional use. This licence does not include any right to reproduce, distribute, or create derivative works.

7. Watermarking and Tracking

Subscription content may be individually watermarked or otherwise marked so that it can be traced to the subscriber to whom it was made available. Breach of these terms may be detected through these measures.

8. Enforcement

Violation of these terms may result in immediate termination of your subscription without refund. We reserve the right to pursue legal remedies for any breach, including claims for damages and injunctive relief.

9. Disclaimer

The Memo is provided for informational purposes only. It does not constitute investment advice, legal advice, tax advice, or any other form of professional counsel. We make no guarantees regarding the accuracy, completeness, or timeliness of the information provided. Content may be prepared with the assistance of AI-based research and editorial tools.

10. AI-Assisted Preparation

The Memo may use artificial intelligence and automated research tools in the preparation of some content. We apply editorial and quality-control measures appropriate to the relevant content and delivery format. These processes do not eliminate the possibility of error.

11. Privacy

12. Governing Law

These terms are governed by the laws of the Federal Republic of Germany. The courts of Kempten (Allgäu) shall have exclusive jurisdiction for any disputes arising from these terms.

13. Changes to Terms

We may update these terms from time to time. Continued use of the service after changes constitutes acceptance of the updated terms.
